DIRECTORS' COLLEGE is the nation's premier executive education program for directors and senior executives of publicly traded firms. This RiskMetrics (ISS) accredited curriculum addresses a broad range of problems that confront modern boards, including the board's role in setting business strategy, techniques for controlling legal liability, the challenge posed by activist investors, and potential dramatic new changes in the rules governing the election of corporate directors.
In 2009, Directors' College will focus extensively on the credit crunch and its implications for directors of publicly traded firms with an emphasis on rebuilding profitable enterprises driven by fundamentals. Leading macro-economists will describe the evolution of the credit crunch and forecast the recession's likely duration and intensity. They will also evaluate the government's fiscal and monetary policy responses with a focus on corporate implications. Experienced directors will review strategies related to risk management, appropriate boardroom responses to depressed stock prices, and strategies for managing through a recession combined with a de-leveraging economy and the threat of deflation. Sessions will explore new legislative and regulatory developments implicating executive compensation, proxy voting mechanisms, and regulations governing short sales. Sessions will also cover lessons to be learned from the widespread failure of boards in the financial services sector to recognize or control the risk inherent in their portfolios. Key take-aways will identify economic opportunities in current market conditions and methods to rebuild entrepreneurial confidence.
RISKMETRICS ISS ACCREDITATION: Directors' College is a RiskMetrics ISS "accredited" Boardroom Education Program. Boards composed of directors who have participated in Stanford Law School's Directors' College will receive an upward adjustment to their Corporate Governance Quotient (CGQ) as determined by ISS.
